Blacklist. Carbon Biosupply maintains a Blacklist of persons and entities permanently barred from purchasing. Placement on the Blacklist is a lifetime ban: the account is terminated, no future account application will be approved, and no order will be fulfilled. Carbon Biosupply may place a Customer on the Blacklist at its sole discretion, including for any Prohibited Use, any misrepresentation of identity or institutional affiliation, or any other material breach of these Terms.
The following Prohibited Uses will not be tolerated and will land you on our Blacklist, which, as mentioned, is a lifetime ban. The products shall NOT be used for:
- Human or animal consumption;
- Diagnostic, therapeutic, or clinical applications;
- Compounding under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act;
- Performance enhancement or aesthetic purposes;
- Any consumer, agricultural, or commercial applications; or

Please note that the foregoing list is not exhaustive, and Carbon Biosupply reserves the right to suspend or terminate the Customer’s account at any time, with or without notice, if the Customer violates these Terms or if we believe the Customer has violated or intends to violate these Terms.
NO GUIDANCE; AFFILIATION
Carbon Biosupply assumes that the Customer is familiar with the products being purchased, and does not provide any type of guidelines or suggestions regarding use of the products. If a Customer asks us for such information, then the Customer will be answered with a “Refusal to Provide Guidelines” email. The Customer acknowledges that any request for usage guidelines may be considered evidence of lack of qualification and may result in order cancellation and/or account termination.
Approval of a Customer account is a prerequisite to purchase. Carbon Biosupply may, in its sole discretion, require verification of institutional affiliation as a condition of account approval, and may re-verify at any time thereafter. If Carbon Biosupply requests re-verification, the Customer agrees to provide it within five (5) business days. Pending receipt of satisfactory verification, Carbon Biosupply may suspend account privileges and hold fulfillment of any pending order. If verification is not provided, Carbon Biosupply may cancel the affected order and refund the purchase price paid, and may suspend or terminate the account.

We expressly reject any conflicting or additional terms in the Customer’s purchase orders, invoices, or other documents, and any such terms shall be void and of no effect. These Terms constitute the entire agreement between the parties and may only be modified by a written amendment signed by an authorized representative of Carbon Biosupply.

WAIVER OF LIABILITY AND INDEMNIFICATION
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Carbon Biosupply OR ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE WEBSITE, RELIANCE ON INFORMATION PROVIDED ON THE WEBSITE, OR THE USE, MISUSE, HANDLING, OR STORAGE OF OUR PRODUCTS, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
In direct consideration of the sale, the Customer agrees to indemnify, defend, and hold harmless Carbon Biosupply, its owners, members, managers, employees, affiliates, and agents from any claims, losses, liabilities, or expenses (including attorneys’ fees) arising from the Customer’s use of the Website; the Customer’s handling, misuse, or transfer of any product; or from any violation of these Terms. This indemnification includes any action taken by a third party resulting from the Customer’s actions or omissions.
GOVERNING LAW AND JURISDICTION; DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. The parties agree to attempt, in good faith, to resolve any dispute related to these Terms through informal negotiation for thirty (30) days prior to commencing any formal dispute resolution proceedings. Failure to comply with this informal negotiation requirement shall result in dismissal of any arbitration or court proceeding without prejudice, and the non-complying party shall bear all costs and fees incurred by the other party in connection with such premature filing. Any unresolved disputes arising out of or relating to these Terms, including disputes regarding the validity, interpretation, breach, or termination of these Terms, shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted in Wyoming, and judgment on the arbitration award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorneys’ fees; provided, however, that the prevailing party in any arbitration or litigation shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party. Notwithstanding the foregoing, Carbon Biosupply may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to enforce payment obligations, without the requirement of posting a bond. The Customer may seek injunctive relief only in Wyoming state or federal courts.
ENTIRE AGREEMENT
These Terms and any terms and agreements expressly incorporated herein by reference constitute the sole and entire agreement between you and Carbon Biosupply regarding the Website and the purchase and use of products, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, relating to the subject matter hereof. No amendment, modification, or waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized officer of Carbon Biosupply. Any waiver of a breach of these Terms shall not constitute a waiver of any subsequent breach.
CHANGES TO TERMS
Carbon Biosupply reserves the right to update, modify, or replace any part of these Terms at any time in its sole discretion. Changes will be posted on this webpage and, for material changes, Carbon Biosupply may provide notice via email to the address associated with your account. Changes will become effective immediately upon posting unless otherwise specified. It is your responsibility to check this webpage periodically for changes. Your continued use of or access to the Website or purchase of products following the posting of any changes constitutes your acceptance of and agreement to the modified terms. If you do not agree to the modified terms, your sole remedy is to discontinue use of the Website and products.
SEVERABILITY
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be reformed to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such reformation is not possible, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.
